TERMS AND CONDITIONS FOR REGISTRATION

These terms and conditions, together with your registration form, create an agreement (the “Agreement”) between Mint Location Limited (registered number 5919384, registered office PO Box 62443, London, E14 1HB) (“Mint Location”) and the client indicated on the registration form (“you”). The Agreement sets out your rights and obligations when registering with and using mintlocation.com (the “Site”). Full use of the Site is only available on these terms, and by using the service you agree to the terms of this Agreement, to the exclusion of all other terms. (1)     AGREEMENT

a) Users must abide by this Agreement, otherwise Mint Location Ltd is entitled to remove all of the user’s registration and uploaded information from the Site and further use of the Site will be prevented.

b) This Agreement is a binding contract between you and Mint Location Ltd. These terms may be changed by Mint Location from time to time – any change will be posted on the Site, and this Agreement will be deemed amended accordingly with immediate effect on such posting; all use of the Site will be subject to the current version of these terms.

c) The contract established by registering with Mint Location Ltd is for a minimum of 12 months. The 12 month contract period will start on the first day of the next month following the date of registration. The contract will be renewed automatically on a 12 monthly basis unless terminated by either party giving written notice given not less than 3 months to be effective on the expiry of the initial or subsequent 12 month period.

d) The charge will be as specified on the Mint Location Ltd Price List 2009 page click here! It is subject to the addition of VAT. If you are an agent, the charge specified is per sole Agent or individual office. Agents with more than one office will be charged per office. There is no limit to the number of properties listed by a sole Agent or individual office.

e) Up to the 30^th June 2009 the service provided by Mint Location Ltd is free to all registered users. The balance of the period up to the end of the initial 12 month contract will be charged at the standard monthly rate.

(2)      HOW TO REGISTER

a) Go to the Registration Page on the Site. Complete details choosing a unique username and password for your account and submit.

b) All registration information given must be accurate. Registration will be confirmed by email, which will contain your account ID. This information must be kept secret and is your sole responsibility. All usage using your account ID or other details is your responsibility. Unauthorised use of ID and password must be notified to Mint Location, together with any breach of security of this Site known to you. Mint Location reserves the right to make a reasonable charge for re-sending or re-setting account ID and other such information for whatever reason other than where Mint Location is at fault.

c) As each registration is for a single user, sole agent or individual office only (as indicated in the completed registration form) users may not share usernames and passwords with other users or third parties.

(3)    RULES OF CONDUCT

You must at all times during the currency of this Agreement:

a) ensure that your computer system meets the technical specification for use of and be compatible with this Site;

b) ensure that all content that you post to the Site complies with all applicable laws and regulations;

c) not use the Site for any unlawful purpose, nor use it in any way which may adversely affect the Site’s security or operation, nor attempt to do so;

d) not attempt to use automated programs such as spiders or web crawlers on or in relation to the Site, nor establish any link (including “deep links”) to the Site without Mint Location’s prior written consent;

e) not use the Site to distribute or publish any material which is, in Mint Locations’s sole opinion, illegal, offensive, immoral, discriminatory, objectionable or in breach of any person’s rights, for any reason;

f) not attempt to use the Site to provide services on behalf of others, nor attempt to provide access to the Site or the information on it for your own commercial purposes other than as the Site is currently accessible to the public;

g) not attempt to access data or any parts of Mint Location’s system which you are not authorised to access;

h) provide all information reasonably requested by Mint Location to confirm that all information supplied for posting on the Site is correct and is not in breach of the Agreement;

i) comply with the Data Protection Act 1998 in relation to all information that you submit or obtain via the Site;

j) defend and indemnify Mint Location against all claims, losses, damages, costs and expenses arising as a result of your breach of the Agreement.

Mint Location reserves the right, without liability to you or any other person, to block your or access to the Site, and/or to block any other person’s access to content that you may have posted, if, for any reason, it apprehends that you have breached any provision of this Agreement.

(4)    INTELLECTUAL PROPERTY

a) All intellectual property rights (including copyright, database rights, trade marks and rights in designs) in this Site, its content, and any underlying code, algorithms and structures, are the property of Mint Location or its licensors. Their use is subject to Rules of Conduct (see section 3 above). It is permitted to download material, but only to the extent necessary for the proper use of this Site. Copying, transmission, modification or adaptation of any of these items is otherwise forbidden without prior written consent.

b) Website links to this site are for the potential benefit of users. Mint Location bears no responsibility in relation to the accuracy of their content, and the links do not imply recommendation of goods or services.

c) Details of properties on this Site are provided by Estate Agents or private users, therefore responsibility for their accuracy cannot be assumed by Mint Location, and Mint Location will not be liable in this regard. All parties are recommended to conduct their own investigations with regard to any details.

d) You may use and publish the Mint Location logo for marketing purposes where such use or publication is clearly linked to the Site, provided that:

(i)       you may not say or do anything that may adversely affect the interests of Mint Location;

(ii)      you may not alter the logo in any way; and

(iii)     you may not say or do anything to suggest that any person other than Mint Location is the owner of such logo and the supplier of the services that the logo represents.

(5)     LIABILITY

a) Every effort is made to provide downloadable material which is free from infection or viruses, and to ensure that the Site is working at all times. However, due to the nature of the internet, Mint Location cannot guarantee this. It is your responsibility to effect and maintain appropriate measures against such risks.

b) Mint Location will not be liable for any failure due to events or circumstances beyond its reasonable control, including telecommunications or equipment failures.

c) This Site gives information which is not specific directed advice, but general, and Mint Location will not be liable with regard to specific content.

d) Mint Location will not be liable in relation to any attempted use by users of automated programs, or for communications to you from others.

e) Mint Location Limited will not be liable for indirect, consequential, special or punitive loss, damage, costs and expenses, or loss of profit, or loss of business, or loss of reputation, or depletion of goodwill, or loss of damage to or corruption of data.

f) Nothing in this Agreement limits Mint Location’s liability for death or personal injury caused by its negligence, or for fraud. If you are a consumer, nothing affects your statutory rights as such.

g) Subject to e) and f) above, Mint Location’s liability to you will not exceed the total amount of fees paid by you to Mint Location in the 6 months preceding the date on which such liability arose.

c) Receipt of all written communication sent by email will be assumed on the day of transmission, or on the next working day after a national holiday, or Saturday or Sunday, and two business days after posting.

(7)      GENERAL

(a) This Agreement is the entire agreement between the parties relating to its subject matter. All other terms, representations and warranties, whether express or implied, are excluded.

(b) This Agreement is governed by English law and the parties submit to the exclusive jurisdiction of the English Courts.
